Mis-filed in 14_Icahn folder — this is an SEC Division of Corporation Finance comment letter (May 6, 2024) to Crown Castle's Corporate Secretary responding to CCI's DEFA14A of May 3, 2024. SEC staff ask CCI to substantiate assertions in its investor presentation attacking Boots Capital (Ted Miller's proxy-contest vehicle), including claims that Boots sought to keep CEO Steven Moskowitz off the Board, that Miller is 'attempting to gain control' despite seeking only a minority of seats, and that Boots's claimed buyers/financing for the Fiber business are illusory. Not primary activist material and not management's reply; it is regulator feedback on management's anti-activist solicitation. Underlying campaign = Boots Capital vs. Crown Castle 2024 proxy fight.
